Terms of Service

Acceptance of these terms

By creating a SpaLedg account or using SpaLedg on behalf of a shop, you agree to these Terms of Service and to our Privacy Policy. If you are creating an account on behalf of a business, you confirm that you are authorised to accept these terms on that business's behalf.

Beta service

SpaLedg is currently provided as a beta product. Features, workflows, reports, and pricing may change, and functionality may occasionally be unstable, as we continue to build and test the product. We'll aim to give notice of material changes where practical.

Your account and eligibility

You must provide accurate information when creating a shop or staff account, and keep your login credentials confidential. You're responsible for activity that happens under your account, including entries made by staff you invite into your shop.

Subscriptions and billing

Paid access to SpaLedg is billed through Stripe at the price shown to you at signup or in the Billing section of the app. Subscriptions renew automatically for each billing period unless cancelled beforehand. You can manage or cancel your subscription, update payment methods, and view invoices through the Stripe Customer Portal linked from Billing. If a payment fails, we may restrict access to paid features until the balance is resolved, consistent with the status shown in your Billing page. Trials, if offered, convert to a paid subscription automatically at the end of the trial period unless cancelled before it ends.

Your responsibilities for your data

You are responsible for entering accurate shop, staff, sales, tips, expense, tax, and drawer data. SpaLedg is a record-keeping tool, not an accountant: you (or your accountant) are responsible for reviewing reports before relying on them for payroll, BAS/GST, tax filings, or other accounting or legal decisions. Once a sale or expense is recorded and finalised, some fields become locked (immutable) for audit-trail integrity — to correct a mistake you'll void the original entry and re-enter it, rather than editing historical figures directly.

Acceptable use

You agree not to misuse SpaLedg — including attempting to bypass access controls or rate limits, probing or overloading the service, uploading unlawful or infringing content, impersonating another shop or user, or accessing or using another shop's data without permission. We may suspend or terminate accounts that we reasonably believe are being used this way.

Ownership of your data

You (the shop) own the business data you enter into SpaLedg — your sales, client, staff, and financial records. We don't sell it or use it to train external products. You can request an export of your shop's data, or deletion of your account, by contacting us as described in the Privacy Policy, subject to the retention rules described there (for example, financial records we're legally required to keep for a period after account closure).

Our intellectual property

SpaLedg, its software, design, and branding are owned by us or our licensors. These terms don't grant you any rights to our intellectual property beyond what's needed to use the service as intended.

Availability and disclaimers

We aim to keep SpaLedg reliable, but during beta we don't guarantee uninterrupted or error-free availability, and we may need to change, suspend, or restrict features to protect the security or integrity of the service and of shops' data. To the maximum extent permitted by law, SpaLedg is provided "as is" without warranties of any kind. Nothing in these terms excludes, restricts, or modifies any consumer guarantee under the Australian Consumer Law that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, SpaLedg's total liability to you for any claim arising out of or relating to these terms or the service is limited to the amount you paid us for the service in the twelve months before the claim arose. We are not liable for indirect, incidental, or consequential losses, including lost profits or lost data, except where such liability cannot be excluded by law.

Termination

You may stop using SpaLedg and cancel your subscription at any time through Billing. We may suspend or terminate your access if you materially breach these terms (for example, through prohibited use or non-payment), or if we discontinue the service, with notice where reasonably practical.

Governing law

These terms are governed by the laws of Australia. Any dispute arising from these terms or your use of SpaLedg will first be discussed in good faith between the parties before either party pursues formal proceedings, and will otherwise be subject to the non-exclusive jurisdiction of the Australian courts.

Changes to these terms

We may update these Terms of Service from time to time, particularly as SpaLedg moves out of beta. We'll update the "last updated" date above, and for material changes we'll aim to notify shop owners by email or an in-app notice before the changes take effect.
